WHAT WE DO
| STEP #1: |
WE RECEIVE ANONYMOUS COMPLAINTS FROM EMPLOYEES.
Employees of private and public companies have the choice of notifying AW of suspicious activity by telephone, fax, email or regular mail.
Each “Whistle Blowing” employee will be afforded the opportunity to remain completely anonymous. If the employee wishes to remain anonymous, he/she will be assigned a unique code number that will allow them to access status reports on our web site. These status reports will inform the employee of the current status of their allegation. If the employee wishes to add further information at a later date based on these status reports he/she will be able to do so by subsequent communications using this unique identifier.

| STEP #2: |
WE ASSIGN EACH COMPLAINT TO A REVIEW COMMITTEE.
Once we receive a complaint or allegation of wrong-doing, we assign it to a review committee consisting of attorneys, accountants and experienced business people. Every complaint or allegation gets reviewed.

| STEP #3: |
WE CONTACT THE CEO OF THE COMPANY
If the review committee determines that the complaint or allegation merits a formal investigation, a designated staff member of America’s Whistle contacts the CEO of the company complained against. The CEO is informed that a complaint has been received by America’s Whistle, that the complaint has been reviewed by Review Committee and that the Committee has made the initial determination that the allegation should be investigated.

| STEP #4: |
WE ASK PERMISSION TO INVESTIGATE.
We then ask the CEO for permission to come to the premises of the company to investigate the complaint. We offer to conduct the investigation on a discreet basis without identifying our organization to the employees of the company. This allows us to investigate objectively. If the CEO rejects our offer, we turn the complaint or allegation over to the appropriate federal or state authorities so that they can conduct whatever type of proceeding they deem appropriate. Once we turn the complaint or allegation over to the authorities we monitor the agency to see what action or actions are ultimately taken.

| STEP #5: |
WE CONDUCT AN INVESTIGATION OF THE COMPLAINT.
If the CEO grants us the opportunity to conduct an investigation, we send a team of investigators to the company. This team of investigators will conduct the kind and type of investigation required based on the nature of the allegation.

| STEP #6: |
WE INFORM THE CEO OF OUR FINDINGS AND AFFORD THE
CEO AN OPPORTUNITY TO TAKE CORRECTIVE ACTIONS AND NOTIFY THE COMPANY’S SIGNIFICANT CONSTITUENTS BEFORE INVESTIGATION IS MADE PUBLIC
The investigation will produce one of three possible results:
| 1. |
No evidence of any wrong-doing.
If the investigation uncovers no evidence of wrong-doing, the CEO will be notified and the investigation concluded. AW will retain a file on the company in the event of subsequent complaints.
To the extent that the Whistle Blower has identified him/her self and has asked for a final report, AW will notify him/her of the conclusion. |
| 2. |
Evidence of poor corporate practices but no evidence of illegal or unethical practices.
The CEO will be notified of the poor practices in a written report along with AW recommendations on how to deal with such in the future. AW will retain a file on the company in the event of subsequent complaints.
To the extent that the Whistle Blower has identified him/her self and has asked for a final report, AW will notify him/her of the conclusion. |

Evidence of criminal activity.
If the investigation uncovers any evidence of criminal activity the CEO will be notified in writing. The CEO will then be given a brief period of time (24 to 48 hours) to:

Terminate or suspend the involved employee(s). |
| B. |
Identify all areas of company affected. |
| C. |
Take remedial steps to solve problem. |
| D. |
Implement new steps to avoid future problems. |
| E. |
Notify relevant constituents; shareholders, investors, bankers, employees. |
| F. |
Turn investigation over to proper law enforcement authorities to prosecute as appropriate |
AW will retain a file on the company in the event of subsequent complaints.
To the extent that the Whistle Blower has identified him/her self and has asked for a final report, AW will notify him/her of the conclusion. |
